How to run director and KMP checks
Checks on each director and KMP: DIN and DIR-3 KYC, disqualification risk (DIR-8 / s.164), MBP-1 disclosures, the s.165 limit on directorships, independent-director tenure and databank, board composition and committees.
Who can do this: People with RoCFlow access (company secretary, admins, accountants). Viewers can look but not change anything.
Steps
Step by step
- Open RoCFlow → Directors.
- Read the flags against each person.
- Open a person to update their details or record a declaration received.
- Use the board-composition panel to see gaps in independent directors or committees.
Tips
- Statutory periods and due dates are settings in Bebaak, not hard-coded law — they are configurable; verify them with your bye-laws / the Act (or your CS / CA) before relying on them. DIR-3 KYC frequency in particular changes — verify it.
