Bebaak DealFlow · Contracts & legal disputes

Every contract from request to renewal — and every legal case — in one register.

DealFlow runs the whole contract lifecycle and your legal disputes. A request form per contract type, approved templates and a clause library, numbered drafts with a word-level compare, a negotiation log, approvals through the same approval matrix as the rest of Bebaak, a locked final draft, and then a field-by-field check of the signed copy against what was approved. The checked terms drive obligations, renewal and notice alerts and draft invoices or bills in Bebaak Books. Legal matters — by you or against you — get stages, hearings, orders, deadlines, costs and a contingent-liability schedule.

Who it's for

  • Businesses that sign customer, vendor, lease, NDA or service contracts and lose track of renewals
  • Finance and legal teams who need approvals, a locked final draft and a check of the signed copy
  • Companies with notices, suits, arbitration, consumer, cheque-bounce or tax disputes to track

Who it's not for

  • Anyone who needs e-signature built in today — signing is on paper (or your e-sign tool) and the signed copy is uploaded
  • Law firms looking for a practice-management or billing system

Who should use it

  • Owners and CFOs who approve contracts
  • Legal, finance and business owners of contracts
  • Company secretaries and in-house counsel tracking disputes

Problems it solves

  • Signed copy differs from the approved draft and nobody notices
  • Renewal or notice deadline missed because the contract sat in an inbox
  • Hearing dates, limitation dates and legal costs kept in diaries and Excel
  • Auditors ask for a contingent-liability list at year end
Features by workflow

How DealFlow works, step by step

1

Draft & approve

  • Request form per contract type with mandatory fields; reviewer assigned by rules
  • Approved templates with versions; clause library with standard / fallback / not-acceptable positions and deviation flag
  • Numbered drafts v0.1, v0.2 … with author, side and SHA-256; compare any two drafts word by word
  • Negotiation log and internal comments kept apart from counterparty notes
  • Approvals by value band, risk, deviation or type — sequential or parallel, with delegation and maker ≠ approver
2

Sign & reconcile

  • Final draft locked (frozen, hashed, timestamped) before signature
  • Signed copy uploaded with signatories, executed date, stamp duty / e-stamp no.
  • Signed terms re-captured and compared field by field; each difference becomes a variance
  • Material variance → fresh approval; the contract goes Active only when all variances are closed
3

Run the contract

  • Executed terms register drives obligations, renewals and alerts
  • Obligations with due dates, escalation when overdue and evidence to close
  • Expiry and notice alerts at 90 / 60 / 30 days; renew, amend or terminate with a record
  • Milestones create one draft sales invoice or purchase bill each in Bebaak Books
4

Legal disputes

  • Matter register: notices, suits, arbitration, NCLT, consumer, cheque bounce (NI Act s.138), tax appeals — by you and against you
  • Stages, hearings (next date carried forward), orders with appeal limitation worked out, deadlines with 7/3/1-day alerts to owner and counsel
  • Costs budget vs actual, deposits, awarded / recovered / paid; settlement through the contract loop; appeal as a linked matter
  • Litigation dashboard and quarterly contingent-liability schedule (Ind AS 37 / AS 29: provide / disclose / none)

What's new v0.20–v0.23

  • v0.23: new — contracts from request to renewal, signed-copy reconciliation, obligations, legal disputes and litigation
  • Each app works fully standalone with its own settings — or together with the others, with no duplicate entry
  • Documents attached to every record, with checklists
  • Replies on your letterhead, with signatures and stamps

FAQs

Questions about DealFlow

Does DealFlow e-sign contracts?
Not yet. You record your preferred e-sign provider (DocuSign, Aadhaar eSign or Leegality) for later; today signing is on paper or in your own tool, and you upload the signed copy.
Can it compare a signed PDF with the approved draft?
The draft compare reads .docx, .txt and text PDFs. For the signed copy, you capture the key terms on a blank sheet and DealFlow compares them field by field with the approved final draft — every difference is listed as a variance.
Does it fetch hearing dates from eCourts?
No. Hearings, orders and next dates are entered by you; DealFlow then sends the deadline alerts.
Do I need Bebaak Books?
No. DealFlow works on its own. With Bebaak Books, contract milestones create draft invoices or bills, and counterparties are the same customers and vendors.
Is the provision for a legal case posted automatically?
No. The contingent-liability schedule shows provide / disclose / none and the provision gap; your accountant posts the journal in Books.
